SMALL ORGANIZED SCHOOLS OF NORTH DAKOTA

 

ARTICLE I
NAME AND THE PURPOSE

Section 1: The name for this organization shall be “Small Organized Schools”.

Section 2: The purpose of the organization shall be to obtain legislation for the benefit of the association; provide quality educational opportunities for all children of North Dakota; to oppose further North Dakota unified school district consolidation without the approval of the patrons involved; to pursue the quality of excellence in education; to give identity, voice, and exposure to the particular quality of rural schools; and to enhance the quality of life unique in the rural community.

ARTICLE II
ASSOCIATION SERVICES

Section 1: The basic unit of the organization shall be the school board and the administrator of the school district.

Section 2: Members of each basic unit will become active members of the association by annually purchasing the services of the association.

Section 3: North Dakota Small Organized Schools will provide for individual non-voting memberships.

Section 4: The cost of services for the next fiscal year shall be set at the annual meeting each year.

ARTICLE III
MEETINGS OF THE ASSOCIATION

Section 1: The annual meeting shall be held no earlier than the first Wednesday in October and no later than the third Wednesday in November or such other time as set by the board of directors. Special meetings may also be called by the president of the association.

Section 2: There shall be 6 regions.

Section 3: There may be at least one annual regional meeting which shall be held at the call of the elected representatives of the region

ARTICLE IV
OFFICERS AND DUTIES

Section 1: Two (2) elected representatives from each of the 6 regions shall constitute the board of directors. They shall be elected at the annual meeting of the association. Commencing with the election held in 1995, one half of the members of the board of directors shall be elected for terms of one year, and one half of the members shall be elected for terms of two-years. The determination of whether an individual member shall hold a one year or two year term shall be made by lot by the board of directors at the organizational meeting following the election. For 1996 and thereafter, the seats of all members that will expire will be open for election. The term of office of members of the board of directors shall commence on February 1 of the year following their election and shall continue until a successor is elected and qualified. Board members must either be an administrator or school board member of an active member as defined in Section 2, Article II. It is recommended there be at least four school board members on the board of directors at all times. A president and vice president shall be elected from the board of directors and a secretary-treasurer shall be appointed by the board of directors.

Section 2: It shall be the duty of the president to preside at all meetings of the association as a whole and the board of directors and to perform all other duties pertaining to the office of president.

Section 3: An executive director for the association may be appointed or hired by the board of directors to present the viewpoint of the association. The salary for services rendered will be negotiated by the representative and the board of directors.

Section 4: The vice president shall attend all meetings and shall assume all responsibilities delegated by the president.

Section 5: The secretary-treasurer will be appointed by the board of directors each year. The secretary will keep minutes and send bulletins and communications regularly to members of the association as directed by the president. He or she shall prepare a financial statement of association funds for the annual meeting. The secretary-treasurer will handle all moneys and deposits for the association. The secretary-treasurer will be bonded by North Dakota Small Organized Schools.

Section 6: The board of directors shall have authority, by a majority vote, to establish by-laws not inconsistent with the constitution of the association. Such by-laws shall be ratified at the annual meeting by a majority of the voting delegate present.

Section 7: The president shall call a meeting or conference call of the board of directors immediately following the annual meeting.

ARTICLE V
VOTING DELEGATES

Section 1: Each paid basic membership unit shall have one voting delegate. The unit-voting delegate shall be selected by each local unit and must be in attendance to vote.

Section 2: Paid membership unit shall mean that the service fees must be paid before the start of the annual meeting.

Section 3: The voting delegates present at any meeting of the association shall constitute a quorum for the purpose of conducting business for the association.

Section 4: Any member of a basic unit or an individual member is encouraged to attend the annual meeting and to address said meeting if desired. Only voting delegates of membership units may make or second motions or amendments to motion.

Section 5: Individual memberships are not entitled to have a voting delegate.

ARTICLE VI
ELECTION OF OFFICERS

Section 1: The president and the vice president shall be elected following the annual meeting held in odd-numbered years by a majority of the members of the board of directors present and voting. They shall assume their offices at the closing session of the final day of the annual meeting immediately following the annual meeting at which they were elected. The terms of the office of the president and vice president shall be for two years.

Section 2: Should the president become deceased, incapacitated, or otherwise unable to act during the term of office, the vice president shall succeed and assume the duties of the president for the remainder of the term during such incapacitation and shall also complete his/her own term. Should the vice president become deceased, incapacitated, or otherwise unable to act, the president shall appoint a vice president from the board of directors to fill the vacancy in the office of vice president.

Section 3: When any other member of the board of directors is no longer a member of the
association for any reason, including resignation, etc., a vacancy in such office shall be filled by the board of directors for the remainder of the unexpired term.

ARTICLE VII
COMMITTEES

Section 1: There shall be a board of directors.

Section 2: The board of directors may establish other standing committees and temporary committees as deemed necessary.

ARTICLE VIII
FISCAL POLICY

Section 1: The fiscal year will coincide with the school year of July 1 through June 30. A yearly financial report will be presented at each annual meeting. All reports and records concerning the year’s business shall be composed and completed as of the end of the annual meeting. Statements for services will be sent to membership units at the beginning of the fiscal period.

Section 2: All checks issued by the association shall be signed by the secretary-treasurer.

ARTICLE IX
AMENDMENTS

Section 1: This constitution may be altered or amended by a 2/3 vote of the voting delegates present at the annual meeting.

Section 2: Any constitutional change must be presented in writing to each unit at least thirty days prior to the annual meeting.

Section 3: A constitutional change may be presented in writing at the annual meeting and must be approved by 3/4 of the voting delegates present at the meeting.

ARTICLE X
AUDIT

Section 1: The board of directors shall make provisions for the auditing of the accounts, reports, and records of the association.
